Overview

Rambus, a premier chip and silicon IP provider, is seeking to hire an exceptional Technical Accounting and SEC Reporting Manager to join our Finance and Accounting team in San Jose, CA.

 

As a Technical Accounting and SEC Reporting Manager, the candidate will be reporting to Director of SEC Reporting and is a Full-Time position. As the Technical Accounting and SEC Reporting Manager within the Rambus Finance and Accounting organization, you will be responsible for managing all aspects of external financial reporting, researching, and documenting the application of new accounting standards, oversee coordination of annual audit and quarterly reviews, and conducting research on complex accounting transactions and documenting conclusions.

Responsibilities

  • As technical accounting subject matter expert, you will carry out research and documentation for a variety of complex and non-standard transactions such as mergers and acquisitions, debt offerings, adoption of new standards, stock-based compensation related to equity awards, share repurchases and general corporate accounting matters.
  • Interpret U.S. GAAP accounting standards and SEC guidance to determine the accounting and financial reporting treatment for new, material, and/or complex, unusual transactions or agreements and partner with key cross-functional business partners including our finance and accounting team, senior management, internal and external auditors.
  • Work proactively with external auditors to drive timely closure of technical accounting matters.
  • Prepare and or review technical accounting memorandums for significant or new transactions.
  • Monitor, understand and provide interpretation of new and proposed accounting pronouncements and assist key stakeholders in assessing financial, operational, and reporting implications.
  • Assist in the preparation of periodic forms filed with the SEC (Forms 10-Q, 10-K, and 8-K)
  • Assist in coordination with external audit teams on quarterly reviews and annual audit.
  • Support financial due diligence and integration of M&A transactions as needed.
  • Prepare quarterly journal entries and reconciliations for stock-based compensation, stock repurchases, and certain other non-routine transactions.
  • Ad hoc projects, analysis, and reporting as required by management.

Qualifications

  • Requirements/Qualifications:

    • Minimum of 6+ years of progressive responsibilities - mix of Big-4 and public company experience preferred (will consider an experienced manager straight out of a Big-4 firm)
    • 1-2 years of management experience required.
    • A mix of public accounting, technology and/or semiconductor industry preferred.
    • Demonstrated knowledge and experience in researching and documenting new accounting guidance and the accounting treatment of issues.
    • Comprehensive and current understanding of US GAAP, including recently issued accounting pronouncements and SEC reporting principles and regulations.
    • Knowledge of Sarbanes Oxley and internal control frameworks
    • Exceptional communication skills, including technical report writing and the ability to effectively present information to various levels of an organization.
    • Excellent interpersonal and project management skills with ability to work effectively with multiple functional areas and collaborate with people with a diverse set of talents and perspectives.
    • Highly proficient in Excel, Word, and PowerPoint
    • Proactive problem solver presents problems and recommendations simultaneously.
    • Possess a strong analytical mind and able to juggle multiple tasks while meeting stringent deadlines.
    • Ability to successfully manage multiple projects with competing priorities and tight deadlines.
    • Exercise sound judgment and work independently with minimal supervision and/or guidance.
    • Bachelor’s degree in accounting or related field
    • CPA required.

    Bonus If You:

    • Have experience in automating data, including use of AI, to streamline processes in order to gain efficiencies.
    • Have experience using Microsoft Dynamics ERP and Workiva and are proficient with iXBRL tagging and review.
    • Have eagerness to learn and tackle challenges in a rapidly growing and dynamic environment.

  • Rambus offers a competitive compensation package including base salary, bonus, equity, matching 401(k), employee stock purchase plan, comprehensive medical and dental benefits, time-off program, and gym membership.

     

    The US salary range for this full-time position is $108,700 to $201,900.  Our salary ranges are determined by role, level and location.  The successful candidate’s starting pay will be determined based on job-related skills, experience, qualifications, work location and market conditions.
